Legal Info - Terms of Service - CanHELP Website

Please take the time to read this ENTIRE agreement ("Agreement") governing your responsibilities (hereinafter, "you", "your", "member" or "user") and use of the CanHELP.net website ("CanHelp.net", "CanHELP", “CanHELP Employment Network”, “The Canadian hospitality Employment Listing Program”, "Site", "us", "our" or "we"). If you don't abide by this Agreement, it may result in the termination of your CanHELP account and/or may expose you to other liability.

To receive your account from CanHELP and use our Site you must agree to and follow the terms and conditions of service (the "ToS") as set forth herein. Unless otherwise indicated, the following statements apply to all CanHELP users and members.

Material on this Site

The purpose of this Site is to connect employers in the tourism and hospitality industries with candidate employees. Authorized users ("Users") of this Site include both Candidate Users (or "Candidates", “Job Seekers”) and Employer Users (or "Employers"). All Users must hold a valid user account. Users and all other visitors to the Site (inclusively, "Visitors") must adhere to the Terms and Conditions contained herein. Please read this page carefully. If you do not accept the Terms and Conditions stated here, do not use this Web Site in any manner. These Terms and Conditions may be modified from time to time and changes will be binding upon all Visitors. Please visit this page periodically to review the Terms and Conditions.

CanHELP makes no claims that the Materials on this Site may be lawfully viewed or downloaded outside of Canada. Access to the Materials may not be legal by certain persons or in certain countries. If you access the Web Site from outside of Canada, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. These Terms and conditions are governed by the internal substantive laws of the Province of British Columbia, Canada, without respect to its conflict of laws principles. Jurisdiction for any claims arising under this agreement shall lie exclusively with the courts having jurisdiction within the city of Vancouver, BC. If any provision of these Terms and Conditions are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any term of these Terms and Conditions shall be deemed further or continuing waiver of such term or any other term. Except as expressly provided in additional terms of use for areas of the Web Site particular "Legal Notice," or Software License or material on particular Web pages, these Terms and Conditions constitute the entire agreement between you and CanHELP with respect to the use of Web Site. No changes to these Terms and Conditions shall be made except by revised posting on this page. Certain areas of this Web Site are subject to additional terms of use which are posted therein. By using such areas, or any part thereof, you agree to be bound by the additional terms of use applicable to such areas.

Authorized Users

Those that are of legal age to form a binding contract or otherwise have permission and are not a person barred from receiving services under the laws of Canada or other applicable jurisdiction can use this Site. In no such case are you qualified for our services if you are under the age of 16.

The Web Site may be used only for lawful purposes by individuals seeking employment and career information or advice ("Candidate Users" or "Candidates" or “Job Seekers”) and employers seeking employees ("Employer Users" or "Employers"). When you apply for a user account on the Site, you will be asked to provide certain information including your legal name and valid email address ("User Information"). User Information will also include all details included in your resume or employment opportunities or offerings. Subject to the laws of Canada and British Columbia and the terms of CanHELP 's Privacy Policy, Users hereby grant to CanHELP and its affiliates the royalty-free, perpetual, irrevocable, sublicenseable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the User Information (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content. Users hereby waive any moral rights they may have in their User Information.

Users warrant that third-party holders of any rights, including moral rights in such content, has completely and effectively waived all such rights and validly and irrevocably granted Users the right to provide CanHELP the license stated above. All other rights in and to the User Information are strictly retained by Users.

No one may use the Web Site in order to transmit, distribute, or store material that: violates any applicable law or regulation; in a manner will infringe the copyright, trademark, trade secret or other intellectual property rights of others; violates the privacy, publicity or other personal rights of others; is defamatory, obscene, threatening, abusive or hateful. CanHELP specifically prohibits and all Users agree not to: post incomplete, false or inaccurate User Information (including biographical, educational or information related to past work experience contained in resumes) or information which is not your own; post opportunities for employment that are not regular, full time or part time "employee" positions (as defined by the Income Tax Act of Canada); post an opportunity for any franchise, pyramid, club, membership, multi-level marketing, distributorship, sales representative, agency or other business opportunity which requires advance or periodic payment, pays commissions only, or requires recruitment of other members, sub-distributors or sub-agents; post any employment opportunities for any competitor of CanHELP or any link to sites competitive with CanHELP; delete nor revise any Material posted by another.

Image & Video Files

Under no circumstances may Candidate Users be required to submit or post still image and/or video files of themselves. Candidates may however, at their own, absolute discretion, exercise the option of submitting image and/or video files if they consider it advantageous.

Site Security

No one may: access data not intended for them; log into a user account without authorization; disclose to or share an account password with any third party or use a password for any unauthorized purpose; attempt to probe, scan or test the vulnerability of the system or network; breach security or authentication measures without proper authorization; interfere with service to any User, host or network; submit a virus to the Web Site; engage in "overloading", "flooding", "spamming", "mailbombing" or "crashing"; send unsolicited e-mails, promotions, or advertising; forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting; use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any activity being conducted on the Site; take any action which imposes an unreasonable or disproportionately large load on the Site's infrastructure; nor introduce to the Site any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines or engines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any Material, system or data.

Users are responsible for maintaining the confidentiality of account names and passwords and shall be responsible for all uses of accounts by third parties whether or not authorized. Users agree to immediately notify CanHELP of any unauthorized use of accounts or passwords.

Notwithstanding anything to the contrary contained herein, CanHELP strictly prohibits and all Users hereby agree to never: use or attempt to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate, search or investigate the Site other than through use of the search engine or agents authorized and provided by CanHELP; decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up part of the Site; aggregate, link, frame, copy or duplicate in any unauthorized manner any of the Materials or information available on the Site.

Unauthorized use of the Site, including actions that may compromise the Site's security may give rise to civil or criminal liability. CanHELP reserves the right to investigate unauthorized use and may seek assistance from or co-operate with law enforcement agencies in the prosecution of such violations. In order to protect the legal privacy of Users and ensure a safe and effective experience for all Users, CanHELP reserves the right to limit the amount of data (including resume views) that may be accessed in any given time period. These limits may be amended in CanHELP’s sole discretion from time to time.

Subsequent Dealings

Users are responsible for all consequences of their postings and the results of their communications with other Users. CanHELP cannot and does not represent or guarantee the truthfulness, accuracy, or reliability of communications posted by Users nor endorse any opinions expressed by Users. Users acknowledge that any reliance on Material will be at your own risk. CanHELP acts as passive conduit for the online distribution and publication of User-submitted information and has no obligation to screen communications or User Information in advance and is not responsible for screening or monitoring material posted by Users. If notified by a User of communications which does not conform to these Terms and Conditions, CanHELP may investigate the allegation and determine in good faith and its sole discretion whether to remove or request the removal of the communication or posting. CanHELP has no liability or responsibility to Users for performance or non-performance of such activities. CanHELP reserves the right to remove any information and expel Users and prevent their further access to the Web Site for violating the Terms and Conditions. CanHELP may take any action with respect to User Information that it deems necessary or appropriate in its sole discretion that may create liability for CanHELP or may cause CanHELP to lose (in whole or in part) the services of its ISPs or other suppliers.

Liability

The Site is only a venue for Employers to search, view and save Candidate information and communicate and for Candidates to post resumes and communicate. CanHELP does not screen or censor the postings or the User Information included therein. CanHELP is not involved in the negotiations or resulting contract between Employers and Candidates. As a result, CanHELP has no control over the quality, safety or legality of the jobs or interviews offered or resumes posted, the truth or accuracy of the postings, the ability of Employers to offer job opportunities to Candidates or the ability of Candidates to fill positions. Further, Users are hereby notified that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals without an appropriate work permit, underage persons or people acting under false pretenses. Users assume all risks associated with dealing with other Users they contact through the Web Site. Because User authentication on the Internet is difficult, CanHELP cannot and does not confirm that each User is who they claim to be.

Users hereby indemnify, release and hold harmless CanHELP (and its affiliates, owners and employees) from claims, demands and damages (contractual and extra-contractual, actual and consequential, direct, indirect and punitive) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with disputes between Users. CanHELP does not control the information provided by other Users which is made available through the Web Site. By its very nature, User Information may be offensive, harmful or inaccurate, and in some cases will be inaccurate, mislabelled or deceptively labeled. The Material may contain inaccuracies or typographical errors. CanHELP makes no representations about the accuracy, reliability, completeness, or timeliness of the Web Site or the Material. The use of the Web Site and the Material is at Users' own risk. Changes are periodically made to the Web Site and may be made at any time. Users acknowledge and agree that they are solely responsible for the form, content and accuracy of any Information they post on the Web Site. CanHELP is not to be considered an employer with respect to the Site and shall not be responsible for any employment decisions made by any User.

CANHELP DOES NOT WARRANT THAT THE WEB SITE WILL OPERATE ERROR-FREE OR THAT THE WEB SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF USE OF THE WEB SITE OR THE MATERIAL RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, CANHELP IS NOT RESPONSIBLE FOR THOSE COSTS. THE WEB SITE AND MATERIAL ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. CANHELP, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, QUALITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT. CANHELP MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE MATERIAL, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS. IN NO EVENT SHALL CANHELP, ITS SUPPLIERS, OR ANY THIRD PARTIES MENTIONED ON THE WEB SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER FOR BODILY, MORAL OR MATERIAL INJURY (INCLUDING, WITHOUT LIMITATION, INDIRECT, PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE WEB SITE AND THE MATERIAL, WHETHER BASED ON WARRANTY, CONTRACTUAL OR EXTRA-CONTRACTUAL LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CANHELP IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT THE AGGREGATE LIABILITY FOR CANHELP TO YOU FOR ALL CLAIMS ARISING FROM THE USE OF THE SITE OR MATERIALS IS LIMITED TO $100.

CanHELP reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to deletion of postings from this Web Site and immediate termination of accounts or ability to access the Web Site and/or any other service provided to you by CanHELP, upon any breach by you of these Terms and Conditions or if CanHELP is unable to verify or authenticate any User Information.

Users agree to defend, indemnify, and hold harmless CanHELP, its officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees (judicial and extra-judicial), alleging or resulting from your use of the Site or Material or your breach of the terms of these Terms and Conditions. CanHELP shall provide notice to Users promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.
